1. About these terms
These terms are between you and Don Creative Limited, trading as Don Digital, based in Auckland, New Zealand. By accessing or using a Don Digital service that links to these terms, you agree to them. If you use a service for an organisation, you confirm that you are authorised to act for that organisation.
A separate proposal, statement of work or service agreement may also apply. If it conflicts with these general terms, the signed agreement takes priority for that service.
2. Our services
Don Digital designs and operates websites, business applications, dashboards, integrations, reporting tools and related digital services. Features may connect to third-party platforms such as Google. The precise services, access and support provided to a customer are determined by the applicable agreement or approved project scope.
3. Accounts and authorised access
You must provide accurate information, protect your account and credentials, and promptly tell us if you suspect unauthorised access. You are responsible for activity undertaken through your account unless caused by our failure to use reasonable care.
You may use restricted applications only if Don Digital or the relevant customer organisation has authorised you. Access may be removed when your role changes, the service ends, or continued access creates a security or legal risk.
4. Acceptable use
You must not misuse our services, attempt to bypass security, access information without authority, interfere with normal operation, introduce malicious code, use the services unlawfully, or use another person's account without permission.
5. Connected third-party services
If you connect a third-party account, you authorise us to access and process the permitted information only as needed to provide the selected functions. You confirm that you have authority to connect that account, use its information and carry out any management action you deliberately submit through the platform.
Google Ads management actions are restricted to approved users and supported controls. You must review and explicitly confirm each action before it is sent to Google. The platform records attempted actions for security and accountability.
Third-party services remain governed by their own terms and privacy policies. Their availability, data and operation are outside our control. You may disconnect an integration at any time, although connected features will then stop working.
6. Ownership
Each party retains ownership of the information, materials, brands and intellectual property it brings to a project. Ownership and licensing of custom project work are determined by the applicable agreement.
Unless an agreement says otherwise, Don Digital retains ownership of its pre-existing methods, reusable components, software, systems and know-how. You retain ownership of your business information and content.
7. Confidentiality and privacy
We will use reasonable care to protect confidential information supplied through our services and use it only to provide, support and secure those services or as otherwise authorised. Our collection and handling of personal information is described in our Privacy Policy.
8. Availability and changes
We aim to keep our services reliable, but continuous or error-free availability is not guaranteed. Maintenance, security events, internet failures and third-party outages may interrupt access. We may change a service where reasonably required for security, compliance, compatibility or improvement.
9. Warranties and liability
Nothing in these terms excludes rights or remedies that cannot legally be excluded. To the extent permitted by law, services are provided without implied warranties beyond those expressly agreed, and neither party is liable for indirect or consequential loss.
Where services are acquired for business purposes, the parties agree that the Consumer Guarantees Act 1993 does not apply to the extent legally permitted. Any additional liability limits are set out in the applicable service agreement.
10. Suspension and termination
We may suspend access where reasonably necessary to address a security risk, unlawful use, material breach or overdue payment under an applicable agreement. Either party may end a service as provided in that agreement. Terms concerning ownership, confidentiality, payment and liability continue where their nature requires it.
11. Governing law
These terms are governed by New Zealand law, and the courts of New Zealand have non-exclusive jurisdiction.
